These Terms of Service (“Terms”) govern your access to and use of the Rounds mobile application, website, and related services (collectively, the “Service”) operated by Rounds Golf LLC (“we,” “our,” or “us”).

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

1. Acceptance of Terms

By creating an account, downloading, installing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our website and updating the “Last updated” date. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

2. Description of Service

Rounds is a golf score tracking and social platform that provides:

• Golf score tracking and round management
• Handicap calculation and performance analytics
• Social features including friend connections, challenges, and sharing
• Betting and challenge functionality
• Course information and discovery
• Integration with non-custodial crypto wallets for transactions

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.

3. User Accounts and Responsibilities

3.1 Account Creation

To use certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your account information to keep it accurate
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

3.2 Eligibility

You must be at least 13 years old to use the Service. If you are under 18, you represent that you have your parent's or guardian's permission to use the Service.

Wagering features have a higher age requirement. You must be at least 18 years old (or the higher minimum age required by the laws of your jurisdiction) to access or use any betting, challenge, or wagering features. Parental or guardian permission does not qualify a user under 18 to use wagering features. See Section 6 for additional requirements.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for violation of these Terms or for any other reason we deem necessary.

4. Acceptable Use Policy and Community Standards

Rounds is a community platform. We maintain zero tolerance for objectionable content or abusive behavior. By using the Service, you agree to follow these Community Standards and the restrictions below.

4.1 Community Standards

You may not post, share, transmit, or otherwise make available through the Service any content, or engage in any conduct, that:

• Is unlawful, defamatory, obscene, pornographic, sexually explicit, or otherwise objectionable
• Promotes violence, hatred, discrimination, or harassment against individuals or groups
• Constitutes bullying, stalking, intimidation, or threats of physical harm
• Contains hate speech, slurs, or dehumanizing language
• Exploits, endangers, or sexualizes minors in any way
• Infringes intellectual property, privacy, or publicity rights
• Is false, misleading, fraudulent, or impersonates another person or entity
• Manipulates scores, handicap data, or game results
• Constitutes spam, phishing, or other deceptive practices

4.2 Prohibited Uses

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Harass, abuse, threaten, or harm other users
• Interfere with or disrupt the Service
• Attempt to gain unauthorized access to any part of the Service
• Use automated systems without authorization

4.3 Reporting and Moderation

If you encounter objectionable content or abusive behavior, you can report it through the in-app reporting features or by contacting us at support@rounds.cc.

We are committed to reviewing all reports of objectionable content or abusive behavior and taking appropriate action. Upon confirming a violation, we will remove the violating content and eject the offending user from the Service. We aim to complete this review and take action within 24 hours of receiving a report.

We reserve the right to remove any content, suspend or terminate accounts, and take any other action we deem necessary to enforce these Community Standards and protect our users, with or without prior notice.

5. Crypto Wallet Integration

5.1 Non-Custodial Nature

Rounds integrates with non-custodial crypto wallets, meaning:

• You maintain full control of your private keys and wallet
• Rounds never has access to your private keys, seed phrases, or wallet passwords
• We cannot recover your wallet or funds if you lose access
• We cannot control or access your funds
• All transactions are initiated and authorized by you

5.2 Your Responsibility

You are solely responsible for the security of your wallet, all transactions initiated, verifying transaction details, backing up recovery information, protecting your device, and complying with applicable crypto laws.

5.3 Risks and Disclaimers

You acknowledge that cryptocurrency transactions are irreversible, values are volatile, wallet security is your responsibility, we are not liable for any loss of funds, and we do not provide financial advice.

6. Betting and Challenges

The Service may include features for challenges and bets. By using these, you agree that you understand the risks, will only bet what you can afford to lose, and that disputes are resolved per the terms agreed upon at bet creation. We may suspend or limit wagering features if fraud or abuse is suspected.

6.1 Games of Skill

Challenges and wagers offered through the Service are contests of skill whose outcomes are determined by participants' golf performance, not by chance. They are not intended to constitute gambling, lotteries, or games of chance, and are offered only where skill-based contests of this kind are permitted by law.

6.2 Age Requirement

You must be at least 18 years old (or the higher minimum age required by the laws of your jurisdiction) to access or use any wagering features. This requirement applies regardless of any parental or guardian permission described in Section 3.2.

6.3 Eligible Jurisdictions

You may not use wagering features where prohibited or restricted by applicable law. You are responsible for ensuring your use of these features complies with all laws in your jurisdiction. We reserve the right to restrict, block, or suspend access to wagering features in any region, including specific states or countries where skill-based wagering is prohibited or restricted, and you agree not to use these features from, or while located in, any such jurisdiction.

6.4 Taxes

You are solely responsible for determining, reporting, and paying any taxes that may apply to your winnings or other amounts received through the wagering features. We do not provide tax advice and are not responsible for any tax obligations arising from your use of these features.

6.5 Escrow Deposit and Settlement

When you enter a crypto wager, the funds are held in an on-chain escrow account on the Solana blockchain. Creating this account requires a small Solana network deposit (commonly referred to as “rent”) that keeps the account's data stored on-chain while the wager is active.

When a wager is settled, Rounds retains this deposit to help cover operating costs, and the winning participant receives the wager pool less this deposit. If a wager is declined or cancelled before settlement, the entire amount is refunded to participants, including this deposit.

Standard Solana transaction (network) fees, which are consumed by the network to process transactions, are separate from the escrow deposit and are not refundable.

7. Intellectual Property

The Service, including its content, features, design, logos, and trademarks, is owned by Rounds Golf LLC and protected by international copyright, trademark, and intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Service for personal, non-commercial purposes.

8. User Content

You retain ownership of content you post through the Service. By posting, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your content solely for operating the Service.

9. Limitation of Liability

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

Binding Arbitration: Unresolved disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules.

Class Action Waiver: Disputes will be resolved individually, not as part of a class action.

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Rounds Golf LLC regarding the Service.

Severability: If any provision is found unenforceable, the remaining provisions remain in effect.

Governing Law: These Terms shall be governed by the laws of the United States.
